Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between RAMYA Enterprises LLC, a Florida limited liability company based in Miami, Florida, doing business as RAM Solutions (“RAM Solutions,” “we,” “us,” or “our”), and the individual or entity accessing our website, purchasing a membership, submitting requests, or using our services (“Client,” “you,” or “your”).


These Terms apply to your access and use of the RAM Solutions website, PilotJoy pages, payment links, request boards, communications, and services related to PilotJoy by RAM Solutions (“PilotJoy” or the “Service”).


By using our website, purchasing a membership, submitting a request, or using the Service, you agree to these Terms. If you do not agree to these Terms, you must not use the website or services.


1. About PilotJoy

PilotJoy is a service offered by RAM Solutions to help companies with Microsoft 365 Copilot agents, Copilot Studio support, Power Automate workflows, Power Automate Desktop support, and related automation requests.


PilotJoy is designed as an asynchronous request-based membership service. Clients may submit requests to a dedicated queue, and RAM Solutions works through requests one active request at a time.


PilotJoy is not a Microsoft product. RAM Solutions is not owned by, sponsored by, endorsed by, or affiliated with Microsoft.


2. Legal Entity

For U.S. commercial, billing, and contracting purposes, PilotJoy may be operated through:

Doing business as RAM Solutions
Service: PilotJoy by RAM Solutions
Miami, Florida, United States


RAM Solutions may also provide services through team members, contractors, or resources located in Costa Rica and other jurisdictions.


3. Service Model

PilotJoy operates on a request queue model.


Unless otherwise agreed in writing:

  • Clients may submit multiple requests to their queue.
  • RAM Solutions works on one active request at a time.
  • Requests are managed asynchronously through approved tools such as Trello, email, Loom, forms, comments, or other agreed channels.
  • Progress updates are typically provided every 24 to 72 business hours depending on complexity, access, testing needs, and client feedback.
  • Larger requests may be broken into smaller phases.
  • Requests that are too large, unclear, blocked, or outside the subscription scope may require a separate quote or agreement.


“Unlimited request queue” does not mean unlimited active work, unlimited labor, unlimited projects, unlimited integrations, unlimited meetings, or guaranteed completion of all requests within a billing period.


4. Services Included

Depending on the active request and the selected plan, PilotJoy may include support for:

  • Microsoft 365 Copilot agent ideas and use cases
  • Copilot agent blueprints
  • Copilot instructions, prompts, and testing scenarios
  • Knowledge source recommendations
  • Copilot Studio support
  • Copilot Studio topics, actions, and agent improvements
  • Power Automate cloud flow support
  • Supporting automations for Microsoft 365 workflows
  • SharePoint, Teams, Outlook, OneDrive, and Excel workflow support
  • Power Automate Desktop bug fixes, updates, and small bot support
  • Excel automation, VBA, macros, and Python scripts when needed for automation
  • Documentation, recommendations, and implementation guidance


Services are provided based on request priority, available access, client-provided information, and technical feasibility.


5. Services Not Included

PilotJoy is not intended for every type of technology project.


Unless separately agreed in writing, the Service does not include:

  • Large ERP implementations
  • Full SAP, Oracle, Salesforce, Workday, or enterprise system implementations
  • Large-scale data migrations
  • Full custom software platforms
  • Complex enterprise integrations requiring extensive architecture or development
  • 24/7 support
  • Emergency support
  • On-site consulting
  • Long-term managed IT services
  • Cybersecurity audits or formal security certifications
  • Legal, tax, financial, HR, medical, or compliance advice
  • Microsoft license resale or license management
  • Support requiring unavailable access, licenses, approvals, or data
  • Work that violates applicable law, third-party terms, or platform policies


RAM Solutions may determine, in its discretion, whether a request fits within the PilotJoy membership or requires a separate scope, quote, or agreement.


6. Client Responsibilities

Client is responsible for:

  • Providing accurate information about each request
  • Providing required files, screenshots, videos, documentation, test data, or context
  • Providing timely feedback when needed
  • Reviewing and testing deliverables
  • Validating business rules, calculations, logic, prompts, automations, and outputs
  • Approving any production use
  • Maintaining internal backups
  • Maintaining required Microsoft licenses and third-party subscriptions
  • Obtaining required internal approvals
  • Ensuring that submitted materials do not violate third-party rights
  • Ensuring that RAM Solutions is authorized to use any materials, data, or systems provided by Client


Client remains responsible for final business decisions, production deployment decisions, user adoption, internal controls, compliance review, and operational use of any solution.


7. Microsoft Licenses, Access, and Credentials

RAM Solutions does not provide Microsoft licenses as part of the PilotJoy membership.


Client is responsible for providing and maintaining any required Microsoft 365, Copilot Studio, Power Automate, Power Automate Desktop, SharePoint, Dataverse, premium connector, Azure, or related licenses needed for each request.


RAM Solutions does not require personal employee credentials.


If access is needed, Client must provide approved access methods, permissions, service accounts, temporary access, test environments, exported packages, sample data, or other access mechanisms that comply with Client’s internal IT and security policies.


If Client cannot provide required access, licenses, data, approvals, or permissions, RAM Solutions may pause or block that request and move to the next available request in the queue.


8. Request Dependencies and Blocked Work

Some requests depend on Client-provided information, access, licenses, approvals, test data, business rules, files, or subject matter expertise.


A request may be marked as blocked, paused, waiting for Client, or out of scope if:

  • Required access is unavailable
  • Required licenses are unavailable
  • Client has not provided necessary information
  • Client feedback is pending
  • The request depends on third-party systems
  • The request requires internal security approval
  • The request is larger than the membership scope
  • The request cannot be reasonably completed without additional scope


When a request is blocked, RAM Solutions may move to the next available request in the queue.


9. Testing, Validation, and Production Use

RAM Solutions may help design, configure, improve, troubleshoot, document, or support solutions, but Client is responsible for reviewing, testing, validating, and approving all deliverables before production use.


This is especially important for requests involving:

  • Financial data
  • HR data
  • Customer data
  • Sensitive business information
  • Compliance-related workflows
  • Operational decisions
  • Approval processes
  • Business rules
  • AI-generated outputs
  • Automated decisions
  • Production workflows


Client should test all solutions in a safe environment before using them with live data, production systems, or business-critical processes.


RAM Solutions is not responsible for damages, losses, business interruption, incorrect decisions, data issues, or operational impact caused by Client’s failure to test, validate, approve, monitor, or maintain a solution.


10. AI and Automation Limitations

Client understands that AI systems, including Microsoft 365 Copilot and Copilot Studio agents, may produce incomplete, inaccurate, unexpected, or inconsistent outputs.


Client is responsible for reviewing, validating, and approving AI-generated content, agent responses, prompts, workflows, automations, recommendations, and outputs before relying on them.


RAM Solutions does not guarantee that any AI agent, prompt, automation, workflow, or integration will be error-free, uninterrupted, fully autonomous, or suitable for every business scenario.


11. Payments and Billing

PilotJoy may be offered as a monthly membership, annual plan, custom plan, payment link, invoice, or separately agreed service arrangement.


Unless otherwise stated in writing:

  • Membership fees are billed in advance.
  • Payment is due before services begin.
  • Monthly memberships renew automatically unless canceled or paused according to the applicable billing process.
  • Client authorizes RAM Solutions or its payment processor to charge the applicable payment method for recurring fees.
  • Client is responsible for any applicable taxes, bank fees, payment processor fees, currency conversion fees, or similar charges.
  • RAM Solutions may suspend service for failed payments, delayed payments, chargebacks, payment disputes, or unpaid invoices.


RAM Solutions may use third-party payment processors such as Stripe. RAM Solutions does not store full credit card numbers on its own systems.


12. Cancellation and Pause Policy

The monthly PilotJoy plan may be canceled or paused before the next billing cycle, unless otherwise agreed in writing.


Canceling or pausing the Service does not automatically refund amounts already paid for the current billing period.


If Client cancels, pauses, or fails to renew, RAM Solutions may stop work at the end of the paid period or earlier if payment is disputed, reversed, or unpaid.


Quarterly, annual, enterprise, invoice-based, or custom plans may be subject to separate commitment periods, payment terms, and cancellation rules.


13. Refunds

Due to the custom, digital, and service-based nature of PilotJoy, payments are generally non-refundable once the subscription period begins.


Refund requests, if any, are reviewed case by case and granted solely at RAM Solutions’ discretion.

Client is not entitled to a refund for work that has already been requested, reviewed, started, performed, delivered, or substantially performed.


Non-refundable payment processing fees, including Stripe fees, bank fees, credit card fees, or similar charges, will not be refunded.


RAM Solutions reserves the right to suspend services, deny refunds, or terminate access in cases of abuse, excessive refund requests, chargeback threats, unauthorized disputes, scope abuse, or violation of these Terms.


14. Chargebacks and Payment Disputes

Client agrees to contact RAM Solutions first regarding any billing concern before initiating a chargeback or payment dispute.


If Client initiates a chargeback, payment reversal, or payment dispute, RAM Solutions may immediately suspend services, pause active requests, remove access to request boards, and withhold deliverables until the matter is resolved.


Client remains responsible for amounts owed for services rendered, active requests, completed work, payment processor fees, collection costs, and any other amounts permitted by law.


15. Ownership of Deliverables

Subject to full payment, Client will own the final deliverables specifically created for Client as part of the Service, except for RAM Solutions’ pre-existing materials, reusable components, templates, processes, know-how, frameworks, methods, internal tools, generalized automation patterns, libraries, code snippets, prompts, documentation structures, or other materials developed independently or used across multiple clients.


RAM Solutions retains all rights to its pre-existing intellectual property, internal methods, templates, tools, frameworks, processes, know-how, and reusable components.


To the extent any RAM Solutions pre-existing materials are included in a Client deliverable, RAM Solutions grants Client a limited, non-exclusive, non-transferable license to use those materials internally as part of the delivered solution, subject to these Terms and full payment.


16. Client Materials

Client represents and warrants that it owns or has the necessary rights, permissions, licenses, and approvals to provide any materials submitted to RAM Solutions.


Client remains responsible for any materials, files, data, screenshots, videos, documents, systems, credentials, third-party content, or intellectual property provided to RAM Solutions.


Client agrees not to submit materials that violate intellectual property rights, privacy rights, confidentiality obligations, security policies, third-party terms, or applicable laws.


17. Third-Party Tools and Services

PilotJoy may involve third-party platforms, tools, or services, including but not limited to Microsoft 365, Copilot Studio, Power Automate, Power Automate Desktop, SharePoint, Teams, Outlook, OneDrive, Excel, Trello, Loom, Stripe, GoDaddy, Google, LinkedIn, or other platforms.


Client is responsible for complying with the terms, policies, licenses, security requirements, and usage limits of any third-party tools or platforms used in connection with the Service.


RAM Solutions is not responsible for outages, changes, limitations, pricing changes, access restrictions, API limitations, licensing issues, data loss, or service interruptions caused by third-party platforms.


18. Confidentiality

RAM Solutions will use reasonable efforts to protect confidential business information provided by Client and will not intentionally disclose Client confidential information to unauthorized third parties.


Client understands that certain information may need to be shared with service providers, contractors, or approved tools used to deliver the Service.


Confidentiality obligations do not apply to information that:

  • Is publicly available
  • Was already known before disclosure
  • Is independently developed without use of Client confidential information
  • Is received from a third party without restriction
  • Must be disclosed by law, legal process, or government request


If Client requires a separate non-disclosure agreement, Client should request one before submitting sensitive information.


19. Publicity, Case Studies, and Client Logos

RAM Solutions will not publish Client confidential information, screenshots, internal materials, or project-specific details without permission.


RAM Solutions may request permission to use Client’s name, logo, testimonial, case study, or general project description for marketing purposes.


Client approval may be requested before any public case study, testimonial, or logo use involving Client-specific information.


20. Website and Brand Intellectual Property

The RAM Solutions website, PilotJoy pages, website content, graphics, text, logos, designs, images, marketing materials, layout, branding, and related content are owned by RAM Solutions or its licensors and are protected by applicable intellectual property laws.


Client may not copy, reproduce, distribute, modify, scrape, republish, sell, license, reverse engineer, or exploit the website, branding, content, or materials without prior written permission from RAM Solutions.


21. Feedback

If Client provides suggestions, comments, ideas, recommendations, or feedback about PilotJoy, RAM Solutions may use such feedback to improve its services, website, processes, or offerings without compensation to Client.


RAM Solutions will not use Client confidential information in public marketing without permission.


22. Prohibited Uses

Client agrees not to use the website or services to:

  • Violate any law or regulation
  • Infringe intellectual property rights
  • Upload malicious code, malware, viruses, or harmful files
  • Interfere with website security or operations
  • Attempt unauthorized access to systems or data
  • Submit illegal, harmful, abusive, misleading, or fraudulent requests
  • Request work that violates Microsoft or third-party platform terms
  • Request automation intended to spam, scrape, hack, phish, defraud, evade security, or bypass access controls
  • Harass, threaten, or abuse RAM Solutions personnel, contractors, or service providers
  • Misrepresent identity, authority, ownership, access rights, or permissions
  • Use PilotJoy to develop competing service materials by copying RAM Solutions’ process, templates, or methods


RAM Solutions may refuse or terminate any request or account that violates these Terms.


23. Service Availability

RAM Solutions does not guarantee that the website, payment links, request boards, third-party platforms, or services will be available at all times.


Service interruptions may occur due to maintenance, third-party outages, internet issues, platform changes, technical failures, or events outside RAM Solutions’ control.


RAM Solutions is not liable for delays, losses, inconvenience, or damages caused by service interruptions or third-party platform issues.


24. No Guarantee of Results

RAM Solutions provides professional support and reasonable commercial efforts, but does not guarantee specific business outcomes, cost savings, revenue increases, adoption rates, system performance, AI accuracy, automation success, or uninterrupted operation.


Client understands that results depend on many factors, including Client’s systems, data quality, access, licensing, testing, internal approvals, business rules, user adoption, and third-party platform behavior.


25. Disclaimer of Warranties

The website and services are provided on an “as is” and “as available” basis.


To the fullest extent permitted by law, RAM Solutions disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, security, or uninterrupted operation.


RAM Solutions does not warrant that any solution, workflow, agent, automation, script, prompt, configuration, or recommendation will be error-free, fully secure, uninterrupted, or suitable for every intended use.


26. Limitation of Liability

To the fullest extent permitted by law, RAM Solutions, RAMYA Enterprises LLC, PilotJoy, and their owners, officers, employees, contractors, affiliates, agents, and service providers shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, business interruption, lost data, loss of goodwill, system downtime, or operational losses.


To the fullest extent permitted by law, RAM Solutions’ total liability for any claim related to the website, Service, membership, or these Terms shall not exceed the amount paid by Client to RAM Solutions for the Service during the one month immediately preceding the event giving rise to the claim.


27. Indemnification

Client agrees to defend, indemnify, and hold harmless RAM Solutions, RAMYA Enterprises LLC, PilotJoy, and their owners, officers, employees, contractors, affiliates, agents, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • Client’s use of the website or services
  • Client’s breach of these Terms
  • Client’s materials, data, files, systems, or instructions
  • Client’s failure to test or validate deliverables
  • Client’s production use of deliverables
  • Client’s violation of third-party rights
  • Client’s violation of applicable laws or platform terms
  • Client’s internal security, licensing, access, or compliance issues
  • Any claim arising from Client’s business operations or use of AI or automation outputs


28. Termination

RAM Solutions may suspend or terminate Client’s access to the website, Service, request board, or active work if Client:

  • Fails to pay
  • Initiates an unauthorized chargeback or payment dispute
  • Violates these Terms
  • Submits abusive, unlawful, or unsafe requests
  • Fails to provide required access or information
  • Misuses the Service
  • Harasses or abuses RAM Solutions personnel
  • Creates legal, security, operational, or reputational risk for RAM Solutions


Upon termination, Client remains responsible for all amounts owed for services rendered, active requests, completed work, or unpaid fees.


29. Electronic Communications and Signatures

Client agrees to receive communications electronically, including emails, website notices, payment confirmations, request board updates, and service-related messages.


Client agrees that electronic communications, approvals, signatures, payment authorizations, and records satisfy any legal requirement that such communications or agreements be in writing.


30. Privacy Policy

Use of the website and Service is also governed by the RAM Solutions Privacy Policy, which is incorporated into these Terms by reference.


Client should review the Privacy Policy to understand how RAM Solutions collects, uses, stores, and protects information.


31. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles.


32. Venue and Jurisdiction

Any legal action, dispute, or proceeding arising out of or relating to these Terms, the website, or the Service shall be brought in the state or federal courts located in Miami-Dade County, Florida, unless otherwise required by applicable law.


Client consents to the personal jurisdiction and venue of such courts and waives objections based on inconvenient forum or lack of personal jurisdiction, to the fullest extent permitted by law.


33. Force Majeure

RAM Solutions shall not be liable for delay or failure to perform due to events beyond its reasonable control, including natural disasters, internet outages, power outages, labor disputes, government actions, acts of war, terrorism, civil unrest, pandemics, third-party platform outages, Microsoft service changes, payment processor issues, or other events outside RAM Solutions’ control.


34. Changes to These Terms

RAM Solutions may update these Terms from time to time.


When we update the Terms, we will revise the “Last Updated” date. Changes become effective when posted on the website unless otherwise stated.


Continued use of the website or Service after changes are posted constitutes acceptance of the updated Terms.


35. Entire Agreement

These Terms, together with the Privacy Policy, payment terms, and any signed written agreement, constitute the entire agreement between Client and RAM Solutions regarding the website and Service.


If there is a conflict between these Terms and a signed written agreement, master services agreement, or statement of work, the signed written agreement shall control for the specific services covered by that agreement.


36. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be modified or removed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.


37. No Waiver

Failure by RAM Solutions to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.


38. No Partnership or Employment Relationship

Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, employment, or franchise relationship between Client and RAM Solutions.


RAM Solutions is an independent service provider.
